Welcome to XOWallet, a decentralized, self-custodial cryptocurrency wallet.
By using XOWallet, (and whether or not you have expressly accepted them in the manner provided below) you agree to comply with these Terms of Service (as the same may be amended, varied or supplemented in writing at any time and from time to time, the “Terms”).
XOWallet is operated by XODEX, an independent holding entity formed and registered in the UAE.
These Terms are specifically for XOWallet and align with the overarching principles of XODEX.
Any references to "we," "us," or "our" refer to the independent operating entity.
Any references in these Terms to “you” or “your” are to any person accessing or using the XOWallet and/or to any person who has expressly accepted these Terms in the manner provided below.
1. Acceptance of Terms
Without prejudice to any express acceptance by you of the Terms (in the manner provided below), by accessing or using XOWallet, you:
Confirm you have read, understood, and accepted these Terms and agree to comply with them.
Agree to comply with all laws and regulations that apply to you in any relevant jurisdiction.
Acknowledge that XOWallet is a self-custodial wallet, and you are solely responsible for managing and keeping safe/securing your private keys, seed phrases, and funds.
Acknowledge that XOWallet does not store or manage user (i.e.your) funds or keys, and we cannot recover lost access.
If you do not agree to these Terms, you must not use XOWallet, and if you are currently using XOWallet you must stop doing so immediately. We recommend that you print a copy of these Terms for future reference.
Unless the context otherwise requires –
a) references in these Terms to one gender includes a reference to the other genders; and
b) words in the singular include the plural and vice versa.
A person includes a natural person, corporate or unincorporated body or entity (whether or not having separate legal personality).
2. Decentralized Nature
XOWallet operates as a decentralized service:
We do not, and will not, hold, manage, or control user (i.e. your) funds, private keys, or assets.
XOWallet functions purely as software for interacting with blockchain networks.
We are not required, in the UAE or any other jurisdiction, to apply for, hold or maintain an operating or other license of any description as XOWallet does not provide financial, custodial, or investment services.

3. Eligibility
To use XOWallet:
You must be at least 18 years old or of legal age in your jurisdiction of residence.
Users aged 13-17 require parental or legal guardian consent.
You must comply with the laws that apply in your jurisdiction regarding cryptocurrency use.
4. User Responsibility
XOWallet is a self-custodial wallet. A user is solely responsible for:
Managing and keeping safe/securing that user’s private keys, seed phrases, and account credentials.
Ensuring the security of that user’s device and regularly updating wallet software.
Losses, misuse, or unauthorized access to that user’s funds.
Understanding that we cannot recover lost or stolen funds under any circumstances.
Your Responsibility: As a self-custodial wallet, you are responsible for safeguarding your private keys, seed phrases, and device security.
5. Risks Disclosure
You acknowledge and accept the following risks:
Market volatility and financial losses.
Regulatory and legal uncertainties and any changes to laws (including, without limitation, any laws relating to taxation) and/or regulations or the interpretation of any of them.
Risks of blockchain failures, smart contract vulnerabilities, user errors, and cyberattacks.
Irreversibility of cryptocurrency transactions.
You use XOWallet at your own risk.
6. Prohibited Uses
You agree not to:
Use XOWallet for any illegal activities, including fraud, money laundering, or financing terrorism.
Attempt unauthorized access to, or interfere with, XOWallet systems or networks.
Share your private keys, seed phrases, or credentials with any unauthorized person.
Use automated systems or bots to access, interact with, or exploit XOWallet or its services. This includes, without limitation, conducting, facilitating, authorising or permitting any form of scraping, data mining, or automated account creation. (Automated system or device or robot, bot, spider, scraper or other automated device, program, to0ol algorithm, code or process and shall include any software, scripts, or processes designed to perform actions on XOWallet without human intervention.) [The provisions in this clause should be treated as an express reservation of our rights in this regard, including for the purposes of Article 4(3) of the Digital Copyright Directive ((EU) 2019/790)]
Harm blockchain networks, interfere with transactions, [or] engage in malicious activities [or knowingly or recklessly introduce viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful, or otherwise harmfully reacting with XOWallet or any part of it].
We reserve the right to restrict access to XOWallet if in our reasonable opinion you have violated (or indicate any intention to violate) any of these terms.
7. Modifications to the Service
We may make, modify, update or otherwise make changes to these Terms from time to time. [Every time you wish to use XOWallet, please check these Terms to ensure that you understand the Terms that apply at that time. These Terms were most recently updated on [xxx].]
We may also suspend, discontinue or withdraw services at our sole discretion. 8. Fees and Charges
We may charge such reasonable fees as we deem appropriate or necessary for specific services, provided that we have disclosed those fees in writing before they are due to apply.
Network fees (e.g., gas fees) are determined by blockchain networks and are the user's responsibility.
9. Intellectual Property
Any and all XOWallet software, branding, and content (or any such that is owned by us or licensed to us by a third party) is and shall be protected under intellectual property laws. No user may copy, modify, or reproduce XOWallet or our materials (including any such materials owned by a third party and licensed to us) for commercial purposes or otherwise for purposes not expressly permitted by these Terms.
10. Third-Party Services and Resources
We may integrate with third-party services (e.g., payment providers, blockchain explorers, or APIs):
We are not responsible for third-party availability, security, or actions.
Use of third-party services is at your own risk.
11. Feedback License
If you submit feedback, suggestions, or support requests, you grant XODEX/us a perpetual, irrevocable, royalty-free license to use, copy, modify, and improve XOWallet or related services based on your feedback.
By submitting feedback, suggestions, or support requests, you agree not to include any confidential, proprietary, or sensitive information. We have no and shall not at any time have any obligations of confidentiality regarding such information.
12. Access Limitations
We do not guarantee uninterrupted access or compatibility with all devices.
We are not liable for delays, downtimes, or malfunctions caused by hardware compatibility, blockchain congestion, or network issues.
Service Disclaimer: "We rely on decentralized blockchain networks. Delays, failures, or disruptions in blockchain systems are beyond our control."
13. Limitation of Liability
To the fullest extent permitted by law:
We, XOWallet and its operators are not liable for lost funds, private keys, or transactions.
We are not responsible for losses due to blockchain failures, user error, hacks, or third-party actions.
Our total liability to you in respect of any claims, damages, losses, costs or expenses incurred by you, shall be limited, in aggregate, to $100 USD.
14. Indemnification
You agree to indemnify and hold us and XOWallet and its operators harmless from and against any and all claims, damages, losses or costs and expenses (including without limitation any legal fees and expenses) arising from or in connection with (or otherwise howsoever arising) the:
Breach of any of these Terms.
Misuse of XOWallet.
Unauthorized access to your wallet.
In addition and without limitation to the foregoing you shall, and do hereby agree to, indemnify and hold us, XOWallet and its operators harmless from and against any claim made by a third party for any alleged breach of that third party’s intellectual property rights resulting from any copying, modification, or reproduction of XOWallet, or our, materials (including any such materials owned by a third party and licensed to us) for purposes not expressly permitted by these Terms.
15. Compliance with Local Laws
Each user is responsible for ensuring that their use of XOWallet complies with applicable laws in their jurisdiction of residence, as well as any other applicable jurisdiction.
Users in the EU
Users located in the European Union (EU) are required to adhere to the General Data Protection Regulation (GDPR) and any other relevant EU laws. XOWallet is committed to processing any personal data in compliance with GDPR. For further details, refer to our Privacy Policy.
Users in the USA
While XOWallet operates as a self-custodial wallet and does not require a license under U.S. federal or state laws, users are expected to comply with all applicable state and federal laws, including but not limited to anti-money laundering (AML) regulations and other financial compliance requirements.
Users in Other Jurisdictions
Users in Other Jurisdictions Users outside the EU and USA are required to ensure that their use of XOWallet complies with all applicable local laws and regulations in their respective jurisdictions. XOWallet does not provide legal advice, and users are encouraged to seek independent legal counsel to confirm compliance with local requirements. Global Disclaimer: XOWallet reserves the right to restrict access in regions where its use may violate or otherwise fail to comply with applicable laws or regulations. XOWallet is not responsible for ensuring individual user compliance with their local laws of any particular jurisdiction, and users are solely responsible for their actions while using the platform.

16. Dispute Resolution
Any dispute arising out of or in connection with these Terms, including any question regarding the existence of these Terms, their validity or termination, shall be referred to and finally resolved by binding arbitration under and in accordance with the then current rules of the London Court of International Arbitration (LCIA), which rules are deemed to be incorporated by reference into this clause.
The number of arbitrators shall be one.
The seat or legal place of arbitration shall be London, England.
The language to be used in the arbitral proceedings shall be English.
The governing law of these Terms shall be the substantive law England and Wales.
You waive the right to any participation in class-action lawsuits or representative proceedings.
Class-Action Waiver:
To the fullest extent permitted by law, all disputes must be resolved on an individual basis. You waive the right to participate in class-action lawsuits, class arbitrations, or any other representative actions against us, XOWallet, XODEX, or its operators.
If this waiver is deemed unenforceable in any jurisdiction, the remainder of this section, including binding arbitration and the waiver of jury trials, will continue to apply.
17. Security Breaches
If you suspect unauthorized access or a security breach:
Immediately secure your wallet and credentials.
Report the issue to us.
Neither us nor XOWallet is responsible for any losses resulting from breaches or misuse of credentials.
Forks and Airdrops
Neither we nor XOWallet guarantees support for blockchain forks, airdrops, or token splits. Support will be determined at our sole discretion.
Software Updates
Each user is required to keep XOWallet software updated to ensure security and functionality. Failure to update may result in wallet vulnerabilities.
Token Support
XOWallet supports specific tokens and we XOWallet reserves the right to add or remove token support.
Notices and Communication
Updates to these Terms or notifications about service changes will be communicated through:

In-app notifications or through the official XOWallet website.
It is your responsibility to monitor for updates, by continuing to use XOWallet 7 days after updates have been communicated, you are deemed to have accepted the updated Terms. If you do not agree, you must stop using XOWallet immediately.

By using XOWallet, you consent to the collection, processing, and storage of your data in compliance with applicable laws, including the UAE Federal Data Protection Law, GDPR for EU users, and other relevant privacy regulations.

Purpose: Your data is used to ensure functionality, improve services, and comply with legal obligations.
Security: While we safeguard your data, you are responsible for securing your private keys and device.
Sharing: Limited data sharing occurs only with trusted providers or to meet legal requirements.
Rights: Users in the EU, UAE, and other jurisdictions may have rights to access, correct, or delete personal data.
If you do not agree with our Privacy Policy, you must stop using XOWallet immediately.
